Terms of Service

By accessing or using the Service, or by signing an order form or pilot agreement that references these Terms, you agree to be bound by these Terms on behalf of yourself and the school, district, or other organization you represent (the Customer). If you do not agree, do not use the Service.

TeachWell AI is a set of productivity tools for educators. It helps teachers draft lesson plans, feedback, parent messages, and documentation, and it gives leaders an aggregated view of hours saved. The teacher reviews and approves every result. Nothing sends or grades of record on its own.

We may update, improve, or change parts of the Service over time. We will not materially reduce the core functionality of a paid subscription during its term without notice.

The Service is intended for use by employees and authorized contractors of schools, districts, and other education organizations. Accounts are for adults aged eighteen or older. Individual teacher accounts are not intended for use by students.

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Please notify us promptly at hello@teachwellai.com if you believe your account has been compromised.

You agree not to use the Service to:

• Break any law or infringe the rights of any person.
• Upload content that is unlawful, harassing, discriminatory, or harmful.
• Attempt to reverse engineer, decompile, or interfere with the Service, its security, or its infrastructure.
• Resell, sublicense, or make the Service available to any third party outside your organization.
• Enter real, identifiable student information into any input field unless your organization has separately authorized that use through a signed data privacy agreement with us.

TeachWell AI is licensed to organizations on a business to business basis, as a per teacher annual license. Fees, seat counts, term length, and payment terms are set out in an order form or pilot agreement between Reigny Day AI and the Customer.

Unless the order form says otherwise, fees are invoiced in advance, due within thirty days, and are non refundable once a term begins. Volume discounts are available for districts and a discounted rate is available for a single school pilot.

The Service, including its software, design, content, and trademarks, is owned by Reigny Day AI and its licensors and is protected by intellectual property laws. We grant the Customer a limited, non exclusive, non transferable right to access and use the Service during the paid term, solely for the Customer's internal educational purposes.

Content that teachers create in the Service, such as lesson plans and feedback drafts, belongs to the Customer. The Customer grants us a limited license to host, process, and display that content so we can provide the Service.

TeachWell AI is designed to be FERPA aware. We treat information provided by a school or district as School Official information under FERPA, used only to provide the Service.

We do not use student data, teacher data, or Customer content to train the underlying AI models. Analytics shown to leaders are aggregated and anonymized. A signed data privacy agreement is available for legal and information technology teams to review.

The Customer is responsible for obtaining any consents required by law before entering personally identifiable student information into the Service.

The Service is provided on an as is and as available basis, without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error free, or that AI generated drafts will be accurate in every case.

We do not guarantee any specific retention, staffing, hiring, or student outcome. Any market figures cited in our materials describe the wider education sector and are not a projection for any single school or district.

TeachWell AI is a productivity tool. It is not medical or mental health care. It does not diagnose, treat, or replace clinical services. If a teacher needs professional support, please connect them with a qualified provider or your organization's employee assistance program.

To the fullest extent permitted by law, Reigny Day AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to the Service.

Our total liability for any claim arising out of or related to these Terms or the Service will not exceed the fees paid by the Customer to Reigny Day AI for the Service during the twelve months preceding the event that gave rise to the claim.

Either party may terminate a subscription at the end of its current term by giving written notice at least thirty days before renewal. We may suspend or terminate access with notice if the Customer materially breaches these Terms and does not cure the breach within a reasonable period.

On termination, the Customer's right to access the Service ends. On written request within thirty days of termination, we will make reasonable efforts to return or delete Customer content, subject to legal retention requirements.

We may update these Terms from time to time. When we do, we will post the updated Terms and revise the effective date above. Material changes will be communicated to the Customer contact on file. Continued use of the Service after an update constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia for any dispute arising out of or related to these Terms.
